AccuFrame Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and AccuFrame, a sole proprietorship operated by Gaby Mai in Canada ("AccuFrame", "we", "us", "our"), governing your use of AccuFrame, a voice-first business management platform for contractors, accessible at accuframe.ca and related applications (collectively, the "Service").
By accessing or using AccuFrame, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using AccuFrame on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Definitions

3. Eligibility
To use AccuFrame, you must:
- Be at least 18 years old
- Be capable of entering into a binding contract
- Have legal authority to operate a business (if using for business purposes)
- Not be prohibited from using the Service under applicable law
- Provide accurate and complete registration information
4. Account Registration and Security
4.1 Account Creation
You must create an account to use AccuFrame. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
4.2 Account Types

4.3 Team Member Acceptance
When a Business Owner invites a Team Member, the Business Owner accepts these Terms on behalf of the business and is responsible for the business's use of the Service. Team Members may access and review these Terms at any time.
4.4 Account Termination
You may terminate your account at any time through Settings. We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay subscription fees
- Create risk or legal exposure for us
5. Subscription Plans and Payments
5.1 Plans
AccuFrame offers various subscription plans. Plan details, features, and pricing are available at accuframe.ca/pricing.
5.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- All fees are in Canadian Dollars (CAD) unless otherwise specified
- Fees are non-refundable except as required by law or stated in these Terms
- You authorize us to charge your payment method automatically
5.3 Taxes
You are responsible for all applicable taxes. We will charge GST/HST/QST as required by Canadian law based on your location.
5.4 Price Changes
We may change prices with 30 days notice. A price change takes effect at your next billing cycle — so if you have prepaid for an annual term, the new price does not apply until your annual term renews. Continued use after a price change takes effect constitutes acceptance.
5.5 Payment Processing
Payments are processed by Stripe. By using AccuFrame, you also agree to Stripe's terms of service. We do not store your full payment card details.
5.6 Plan Changes
You may change your plan at any time through Settings. Changes take effect as follows:
- Upgrades (including a switch from monthly to annual billing) take effect immediately. You will be charged a prorated amount for the difference for the remainder of the current billing period.
- Downgrades (including a switch from annual to monthly billing) take effect at the end of your current billing period. No proration or refund is applied for the scheduled change; your current plan continues until the period ends.
- Adding or removing team member seats takes effect immediately and is prorated. Additional seats are billed monthly at the then-current per-seat rate shown at checkout, regardless of your base billing interval.
- Cancellation takes effect at the end of your current billing period. You retain access until then, and no refund is provided for the remainder of the period except as required by law.
6. Service Description
6.1 Core Features
AccuFrame provides:
- Voice-first business management — Create quotes, invoices, and manage clients using voice commands
- Quote and invoice generation — Professional documents with your branding
- Client management — Store and organize client information
- Payment processing — Accept payments via Stripe integration
- Notifications — Alerts for approvals, payments, and overdue invoices
Available features depend on your subscription plan.
6.2 Voice Features
AccuFrame's voice features use third-party AI services (Deepgram, Anthropic, ElevenLabs) to:
- Transcribe your voice commands
- Understand your intent
- Execute business actions
- Respond with synthesized voice
Important: Voice features are provided "as-is." AI may occasionally misunderstand commands. Always review actions before confirming critical transactions.
6.3 Service Availability
We strive for high availability but do not guarantee uninterrupted service. We may temporarily suspend service for:
- Scheduled maintenance (with advance notice when possible)
- Emergency repairs
- Security incidents
- Events beyond our reasonable control
7. Your Responsibilities
7.1 Acceptable Use
You agree to use AccuFrame only for lawful purposes. You will NOT:
- Violate any applicable law or regulation
- Infringe on intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use the Service for spam or unsolicited communications
- Impersonate any person or entity
- Collect user information without consent
- Use the Service to harass, abuse, or harm others
- Reverse engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without authorization
7.2 Compliance with Laws
You are responsible for complying with all laws applicable to your use of AccuFrame, including:
- Tax collection and remittance
- Consumer protection laws
- Anti-spam legislation (CASL)
- Privacy laws (when handling End Client data)
- Industry-specific regulations
7.3 Accurate Information
You are responsible for the accuracy of:
- Your business information
- Tax rates and settings
- Quotes and invoices you generate
- Client information you enter
AccuFrame is a tool to help you manage your business. You remain responsible for your business decisions and compliance.
8. Intellectual Property
8.1 Our Intellectual Property
AccuFrame, including its software, design, logos, and documentation, is owned by AccuFrame (Gaby Mai) or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.
You may NOT:
- Copy, modify, or distribute the Service
- Create derivative works based on the Service
- Remove any proprietary notices
- Use our trademarks without written permission
8.2 Your Content
You retain ownership of your Service Data (client information, quotes, invoices, etc.). By using AccuFrame, you grant us a limited license to:
- Store, process, and display your data to provide the Service
- Use anonymized, aggregated data to maintain and improve the Service
- Create backups and maintain data integrity
8.3 Feedback
If you provide suggestions, ideas, or feedback about AccuFrame, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without compensation or attribution.
9. Privacy and Data Protection
9.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy at accuframe.ca/privacy. By using AccuFrame, you consent to our privacy practices.
9.2 Your End Clients' Data
When you use AccuFrame to manage End Client information, you are the data controller and we are the data processor. You agree to:
- Obtain necessary consents from your End Clients
- Use End Client data only for legitimate business purposes
- Comply with applicable privacy laws
- Not share End Client data inappropriately
9.3 Data Processing
For Business Users who require a formal Data Processing Agreement (DPA) for compliance purposes, please contact privacy@accuframe.ca.
10. Third-Party Services
10.1 Sub-Processors and Integrations
AccuFrame relies on the following third-party services to operate:
- Stripe (payment processing)
- Deepgram (voice transcription)
- Anthropic (AI processing)
- ElevenLabs (voice synthesis)
- Brevo (transactional email delivery)
- Supabase (database, authentication, and file storage)
- Vercel (application hosting)
Your use of the Service involves these providers. Each maintains its own terms and privacy practices. See our Privacy Policy for details on what data each receives.
10.2 Third-Party Responsibility
We are not responsible for:
- Third-party service availability or performance
- Changes to third-party services or pricing
- Security incidents at third-party providers
- Data handling by third parties beyond our control
11. Disclaimers
11.1 Service Provided "As-Is"
ACCUFRAME IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS
- UNINTERRUPTED OR ERROR-FREE SERVICE
11.2 AI and Voice Limitations
Voice features and AI processing are not perfect. We do not warrant that:
- Voice commands will always be accurately transcribed
- AI will always correctly understand your intent
- Automated actions will be error-free
- Voice features will work in all environments or accents
Always review and confirm important actions before finalizing.
11.3 Business Decisions
AccuFrame is a tool to assist your business operations. We do not provide:
- Legal advice
- Tax advice
- Financial advice
- Accounting services
You are responsible for your own business decisions, tax compliance, and legal obligations.
12. Limitation of Liability
12.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCUFRAME SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Any damages arising from Service interruption or data loss
12.2 Liability Cap
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF ACCUFRAME SHALL NOT EXCEED THE GREATER OF:
- The amount you paid us in the 12 months preceding the claim, or
- $100 CAD
12.3 Essential Terms
These limitations are essential elements of the agreement between us. The Service would not be provided without these limitations.
12.4 Jurisdictional Limitations
Some jurisdictions do not allow certain warranty exclusions or liability limitations. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless AccuFrame (Gaby Mai), and its agents, from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of AccuFrame
- Your violation of these Terms
- Your violation of any third-party rights
- Your Service Data or business practices
- Your End Clients' claims against you
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
14.2 Informal Resolution
Before initiating formal proceedings, you agree to contact us at support@accuframe.ca to attempt informal resolution. We will try to resolve disputes within 30 days.
14.3 Jurisdiction
Any legal action arising from these Terms shall be brought exclusively in the courts of the Province of Ontario, Canada. You consent to the personal jurisdiction of these courts.
14.4 Class Action Waiver
To the extent permitted by law, you agree to resolve disputes with us individually and waive any right to participate in class actions or collective proceedings.
15. Term and Termination
15.1 Term
These Terms remain in effect while you use AccuFrame.
15.2 Termination by You
You may terminate your account at any time through Settings. Upon termination:
- Your access to the Service will end
- No refunds for unused subscription time (except as required by law)
- Your data will be handled as described in our Privacy Policy, including a 30-day grace period before deletion
15.3 Termination by Us
We may terminate or suspend your account:
- For violation of these Terms (immediate termination)
- For non-payment (after notice and a cure period)
- For any reason with 30 days notice
15.4 Effect of Termination
Upon termination:
- Your license to use AccuFrame ends
- Provisions that should survive (intellectual property, liability, indemnification) continue
- You may request a data export within 30 days of termination
16. Modifications to Terms
16.1 Changes
We may modify these Terms at any time. When we make material changes:
- We will post the updated Terms at accuframe.ca/terms
- We will update the "Last Updated" date
- We will notify you by email for significant changes
- Changes take effect 30 days after posting (or immediately where required for legal reasons)
16.2 Acceptance
Your continued use of AccuFrame after changes constitutes acceptance. If you disagree with changes, you must stop using the Service and terminate your account.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AccuFrame regarding the Service.
17.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect.
17.3 Waiver
Our failure to enforce any right or provision does not waive our right to enforce it later.
17.4 Assignment
You may not assign or transfer your rights under these Terms without our consent. We may assign our rights freely.
17.5 No Agency
Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and AccuFrame.
17.6 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet/power outages.
17.7 Language
These Terms are written in English. If translated, the English version prevails in case of conflict.
